These Terms and Conditions (“Terms”) govern your access to and use of the services provided by Alpha Video Surveillance (“AlphaVS,” “we,” “us,” or “our”), including services delivered through our website alphavs.com (“Site”), and any contracts, monitoring services, installations, or other security services we provide (“Services”). By accessing or using our Site or Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you should not access or use our Site or Services.

Definitions

“Customer” means the individual or entity entering into a service agreement with AlphaVS. “Services” includes all remote video monitoring, surveillance system installations, monitoring services, digital interfaces, and related features provided by AlphaVS.

Acceptance of Services

Upon placing an order or entering a contract for Services, you agree that these Terms apply. No contract is binding on AlphaVS until accepted by us in writing or another formal confirmation.

Scope of Services

AlphaVS agrees to provide the Services specified in your Service Agreement or Order Form. Services may include equipment installation, video monitoring, remote surveillance, reporting, alerts, and other elements as set out in your Service Agreement. AlphaVS may modify the scope of Services upon agreement with the Customer.

Customer Responsibilities

You agree to:

• Provide accurate information necessary for delivery and performance of the Services.
• Maintain any required internet, power, or site access for operational functionality of equipment.
• Comply with all local, state, and federal laws regarding surveillance, privacy, and recording. It is your responsibility to ensure any required signage or legal notifications are in place.
• Protect the confidentiality of any account credentials or security information issued by AlphaVS.
• Notify AlphaVS of any unauthorized use of your account or services.

Term, Renewal, and Termination

Service terms and renewal periods will be specified in your Service Agreement. Unless otherwise stated, Services will automatically renew for successive periods upon expiration of the initial term. You or AlphaVS may terminate Services at the end of the then-current term by providing notice as required in your agreement. AlphaVS may also terminate Services for cause if you materially breach these Terms and fail to cure such breach within a specified period.

Fees and Payment

You agree to pay all fees specified in your Service Agreement. Fees may include installation charges, monitoring fees, equipment rental or purchase costs, and taxes. Unless otherwise specified, payment is due in advance or upon receipt of an invoice. Late payments may incur interest or service interruption in accordance with your agreement.

Use of Digital Services and Platforms

If AlphaVS provides a client portal, mobile app, or digital interface, your use is subject to additional usage rules, including:

• Non-exclusive, non-transferable rights to access the digital platform.
• Restrictions on sharing, copying, or modifying platform content.
• Responsibility for user credentials and authorized user access.

Confidentiality

Each party agrees not to disclose confidential information obtained from the other in connection with the Services, except where required by law. Confidential information includes business processes, pricing, account details, and technical system data.

Intellectual Property

All content, trademarks, software, and intellectual property provided by AlphaVS remain the exclusive property of AlphaVS. You are granted a limited right to use such material solely to the extent necessary to access and use the Services.

Warranties and Disclaimers

AlphaVS strives to provide reliable Services, but Services and digital platforms are provided “as is” and “as available.” To the fullest extent permitted by law, AlphaVS disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uninterrupted access, or error-free service.

Limitation of Liability

To the extent permitted by law, AlphaVS’s liability for any claim arising out of or related to the Services shall be limited to the amounts you have paid to AlphaVS under your Service Agreement in the six (6) months preceding the claim. In no event shall AlphaVS be liable for consequential, indirect, incidental, special, or punitive damages such as loss of profits, loss of data, business interruption, or third-party claims.

Indemnification

You agree to indemnify, defend, and hold harmless AlphaVS and its affiliates from any liability, loss, claim, or expense (including attorneys’ fees) arising from use of the Services, violation of these Terms, or breach of applicable law.

Governing Law

These Terms and any dispute arising from them shall be governed by the laws of the state of Nevada, without regard to its conflict of laws principles. Any action must be brought in the courts located in Clark County, NV.

Amendments

AlphaVS reserves the right to update or modify these Terms at any time. Updated Terms will be posted on the Site, accompanied by a new “Last Updated” date. Continued use of the Site or Services after these changes have been implemented indicates acceptance of the updated Terms.
